Terms of Service

The binding terms governing your use of the Trading Integrity Bureau website, public registry, and verification services.

Introduction and acceptance

These Terms of Service (the Terms) constitute a legally binding agreement between you and Stratinova LTD, a company incorporated in the Republic of Cyprus with registration number HE475207, trading as Trading Integrity Bureau (TIB, we, us, or our).

Scope of the agreement

These Terms govern your access to and use of the websites located at integritybureau.org and registry.integritybureau.org, any sub-domains operated by TIB, the publicly available content published thereon, the public registry of verified firms, application and enquiry forms, and any related services (collectively, the Services).

Acceptance

By accessing or using the Services you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

Capacity

You represent that you are at least eighteen (18) years of age and, where you use the Services on behalf of an organisation, that you are authorised to bind that organisation to these Terms and that all references to you include that organisation.

Definitions

In these Terms, the following terms have the meanings set out below. Defined terms are used in Small Caps throughout the document.

Applicable Law
Any law, regulation, statute, rule, order, or judgment of any governmental or regulatory authority applicable to the relevant party or activity.
Engagement Agreement
A written agreement between TIB and a Firm setting out the scope, fees, confidentiality, publication rights, and other terms of a specific verification engagement.
Firm
A legal person that has applied for, undergone, or received a TIB verification.
Participant
A natural or legal person who engages with a Firm as a trader, client, investor, or counterparty.
Registry
The public database of verified Firms maintained at registry.integritybureau.org.
Standards
The TIB Integrity Standards published at integritybureau.org/standards, as amended and versioned from time to time.
Methodology
The verification methodology published at integritybureau.org/methodology.
Verification
A determination issued by TIB in accordance with the Standards and Methodology following an Engagement Agreement.
Verified Mark
The trade mark identifying Firms that have received a Verification and hold a valid licence to display it.

Regulatory status

TIB is not a regulator, does not hold any financial services licence, and is not authorised by any competent authority to conduct regulated financial activities. Nothing in these Terms or on the Services constitutes an authorisation, endorsement, or substitute for regulatory supervision in any jurisdiction.

Scope and permitted use

Licence

Subject to your compliance with these Terms, TIB grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for the purposes described in § 5.

Prohibited conduct

You agree that you will not, and will not permit any third party to:

  • Access or use the Services in breach of Applicable Law;
  • Scrape, harvest, or systematically extract data from the Services at a rate or in a volume that impairs availability or circumvents technical protection measures;
  • Misrepresent a Verification status, imply an association with TIB that does not exist, or reproduce the Verified Mark other than as expressly licensed by TIB;
  • Upload, transmit, or link to material that is unlawful, defamatory, infringing, malicious, or obscene;
  • Attempt to gain unauthorised access to any system, account, or network connected to the Services;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying algorithms of the Services, except to the extent expressly permitted by Applicable Law;
  • Use the Services to create, train, or evaluate any artificial intelligence, machine learning, or similar model without TIB's prior written consent.

Nature of verification services

What a Verification is

A Verification is an independent, documented assessment of a Firm's operational practice against the Standards at the effective date of the review. It produces a determination of Pass, Conditional, or Fail at pillar level and an overall Registry status.

What a Verification is not

A Verification is not, and must not be represented as, any of the following:

  • A regulatory licence, authorisation, permit, or approval of any kind;
  • An endorsement of any Firm's products, performance, or commercial practices;
  • An insurance policy, guarantee, warranty, or indemnity in respect of any Firm's acts or omissions;
  • Investment, legal, tax, accounting, or any other professional advice;
  • A recommendation to engage with, invest in, or use the services of any Firm;
  • A guarantee of the Firm's future conduct, solvency, or continued compliance with the Standards.
No reliance. Participants and third parties must conduct their own due diligence before engaging with any Firm. TIB accepts no liability for acts or omissions of Firms, whether or not verified.

Registry accuracy and reliance

Basis

TIB maintains the Registry on a best-efforts basis and applies reasonable care in the preparation and publication of Registry entries. Registry entries reflect findings at the effective date of the relevant review and may not reflect subsequent changes in a Firm's operations or status.

Right to correct

TIB may amend, suspend, or remove any Registry entry at any time, including without prior notice where required to correct a material error, to give effect to a revocation, or to comply with a legal obligation. Revocations are retained in the Registry history.

Reliance

The Registry is provided on an as is and as available basis. Any reliance you place on Registry information is at your own risk and subject to § 11 and § 13.

Engagement agreements

Scope of these Terms

These Terms govern general use of the Services. Where a Firm enters into an Engagement Agreement with TIB, that Engagement Agreement shall govern the specific verification engagement and, in the event of conflict, shall prevail over these Terms in respect of matters within its scope.

Non-binding submissions

Application forms submitted via the Services do not constitute an offer, acceptance, or binding agreement. No Verification commences until an Engagement Agreement has been signed by both parties.

Intellectual property

Ownership

All content, trade marks, logos, reports, designs, text, graphics, software, and data made available through the Services are owned by or licensed to TIB and are protected by copyright, trade mark, database, and other intellectual property rights. No ownership or licence is transferred to you except as expressly set out in these Terms.

Verified Mark

The Verified Mark is licensed to Firms that have received a Verification in accordance with a written Brand Usage licence. The licence is limited, revocable, non-sublicensable, and personal to the Firm. Misuse of the Verified Mark is actionable. Suspected misuse may be reported to legal@integritybureau.org.

Permitted reference

You may make fair and accurate reference to TIB and the Registry for informational or journalistic purposes, provided that such reference is not misleading and does not imply an endorsement or association that does not exist.

User content and submissions

Your submissions

You are solely responsible for any content, information, or materials you submit through the Services, including enquiry forms and application forms. You represent and warrant that your submissions do not infringe any third-party right, violate Applicable Law, or contain personal data of any third party for which you lack a lawful basis to share.

Licence to TIB

By submitting content to TIB you grant TIB a non-exclusive, worldwide, royalty-free licence to use that content for the purposes of operating, maintaining, and improving the Services and responding to your submission, subject to the Privacy Policy.

Third-party links and services

The Services may contain links to or embed content from third parties. Such links and content are provided for convenience only. TIB does not endorse, warrant, or take responsibility for any third-party content, service, or practice. Your use of third-party services is at your sole risk and subject to the relevant third party's terms.

Disclaimers

To the maximum extent permitted by Applicable Law:

  • The Services are provided on an as is and as available basis, without any warranty of any kind, whether express, implied, statutory, or otherwise;
  • TIB expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, availability, and uninterrupted operation;
  • TIB does not warrant that the Services will be error-free, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components;
  • TIB makes no representation or warranty regarding the acts, omissions, solvency, regulatory status, or future conduct of any Firm, whether or not verified.

Indemnification

You agree to indemnify, defend, and hold harmless TIB, its affiliates, officers, directors, employees, agents, and licensors from and against all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your breach of these Terms or of Applicable Law;
  • Your misuse of the Services or of the Verified Mark;
  • Your content or submissions;
  • Any dispute between you and a third party relating to your use of the Services.

Limitation of liability

To the maximum extent permitted by Applicable Law:

  • TIB shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of revenue, loss of data, loss of business, loss of goodwill, or loss of anticipated savings, whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise, and whether or not TIB was advised of the possibility of such damages;
  • TIB's total aggregate liability arising out of or relating to the Services, howsoever arising, shall not exceed the greater of (i) fees actually paid to TIB by you in the twelve (12) months preceding the event giving rise to the claim, or (ii) one hundred Euros (€100);
  • Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under Applicable Law.

Termination

Termination by you

You may stop using the Services at any time. Termination does not affect any rights or obligations that accrued prior to termination.

Termination by TIB

TIB may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including breach of these Terms or where required to comply with Applicable Law.

Survival

Sections that by their nature should survive termination — including § 8 (Intellectual property), § 11 (Disclaimers), § 12 (Indemnification), § 13 (Limitation of liability), § 16 (Governing law and jurisdiction), and this § 14 (Termination) — shall survive.

Force majeure

TIB shall not be liable for any failure or delay in performance of any obligation under these Terms where such failure or delay is caused by events beyond its reasonable control, including acts of God, war, civil disturbance, pandemic, labour dispute, failure of public infrastructure, cyber attack, or act of any governmental authority.

Governing law and jurisdiction

Governing law

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or formation (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict-of-laws principles.

Jurisdiction

The competent courts of Limassol, Republic of Cyprus, shall have exclusive jurisdiction to settle any such dispute or claim. TIB reserves the right to bring proceedings against you for breach of these Terms in the courts of the country in which you are resident or in any other court of competent jurisdiction.

Consumer rights

Where you use the Services as a consumer in the European Union, the European Economic Area, or the United Kingdom, you retain the mandatory protections of the law of the country in which you are resident; nothing in these Terms limits those mandatory protections.

Notices

Notices to TIB

Legal notices to TIB must be sent to legal@integritybureau.org and, where required by law, by post to the registered office at Archiepiskopou Makariou III 228, Agios Pavlos Building, 3030 Limassol, Cyprus, marked FAO: Legal.

Notices to you

TIB may give notice to you by email (where an email address has been provided) or by posting a notice on the Services. Notices are deemed received on the next business day following delivery.

Changes to these Terms

TIB may amend these Terms from time to time. The amended Terms will be published on the Services with an updated effective date. Material changes will be notified by a prominent notice on the Services and, where applicable, by email to registered contacts. Continued use of the Services after the effective date of the amended Terms constitutes acceptance of the amendment.

Miscellaneous

Entire agreement

These Terms, together with any document expressly referenced in them, constitute the entire agreement between you and TIB in respect of the Services and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.

No waiver

Failure or delay by TIB to enforce any provision of these Terms shall not constitute a waiver of that provision or of TIB's right to enforce it.

Assignment

You may not assign, transfer, or sub-contract your rights or obligations under these Terms without TIB's prior written consent. TIB may assign its rights and obligations under these Terms at any time without restriction.

No third-party rights

Except as expressly provided, these Terms do not create any rights enforceable by any third party.

Language

The authoritative version of these Terms is in English. Translations are provided for convenience only; in the event of conflict, the English version prevails.
